We render consultancy services throughout the 5 or 6 stages that all New Projects usually undergo. 1. Ideas In the first place, the main concern is to “protect the idea”. Our Intellectual Property Department provides advice to entrepreneurs in connection with copyright, for instance a Software, and intellectual property, that is to say trademarks and patents. Furthermore, by means of the pertinent Non-disclosure Agreements, we keep all projects under complete confidentiality when presenting the same to potential investors or allies.
2. Legal organization Once that the idea is consolidated, our Corporate Department advises on the different options that an entrepreneur has as regards a legal structure for his/her project, provided that he/she wishes to chose one. At this stage, we work hard on structuring relationships, for instance, of capital, among the founders of the project and possible investors. 3. Resources Once the structure is ready, it is time to procure the financial and non-financial resources to carry out the project. In this way, with the assistance of the Business Law and Contract Department, different contracts and agreements to be entered into with the investors (if any), strategic allies, suppliers and potential clients are negotiated and drafted. 4. Day by Day Once the project has been started-up, it is important to consider every day legal matters and to this end, the Labor Department provides advice in connection with the organization of human resources (employees, internships, stock option plans, etc.). Together with the rest of the departments, the project is provided advice on taxes, defense of competition and consumer protection, commercial loyalty and specific regulations for certain kinds of activities. 5. Success If the project is successful, we provide advice to the entrepreneurs in the negotiation and obtaining of investment rounds, mergers and acquisitions, and together with the law firms associated to us, in the export and regionalization of the project. 6. Conclusion Finally and in spite of the fact that we work for all the new projects to be successful, we must not ignore a reality that shows that many new projects fail to go beyond the first stages and we must be ready if this is the case. Therefore, if a project has to be terminated, our Composition with Creditors and Bankruptcy Department works with our clients to liquidate the undertaking in an orderly manner, so as to be able, eventually, to start a new one.
